1. Acceptance of Terms

These Terms of Service ("Terms") are a legally binding agreement between you and ANNATECH SRL, a company registered in Romania (str. 1 Mai nr. 45, Municipiul Craiova, jud. Dolj, 200355, Romania; CUI 52437424; Reg. Com. J2025066494002; EUID ROONRC.J2025066494002) ("we", "us", "our"), governing your access to and use of the DineXpro platform — our mobile applications, web application, this website, and all related services (together, the "Services").

By creating an account, accessing, or using DineXpro, you agree to these Terms. If you do not agree, do not use the Services. If you use the Services on behalf of a business, you represent that you have authority to bind that business.

2. Eligibility & accounts

You must be at least 16 years old (or the minimum age in your jurisdiction). Certain features — such as Social Mode and adults-only loyalty rewards — additionally require you to be at least 18 years old. Using DineXpro requires an account, created with an email address and password or via Google or Apple sign-in. You are responsible for: providing accurate information, keeping your credentials confidential, all activity under your account, and telling us promptly about any suspected unauthorized access.

We may suspend or terminate accounts that violate these Terms or are used fraudulently.

3. Description of Services

DineXpro is a venue platform that may provide, depending on the venue's configuration and your location:

  • QR table sessions — scan a table QR to join a shared dining session, view menus, and order with your table
  • Ordering — dine-in, pickup, and delivery ordering with live status
  • Payments — view bills, split costs, and pay by card (where enabled) or cash
  • Reservations — book tables, including deposits where the venue requires them
  • Loyalty — venue-configured points, rewards, and vouchers
  • Business tools — menu management, table and session oversight, prep-station dashboards, reservations management, staff roles, and analytics
  • Social features — optional profiles, venue check-ins, events, and community features
  • Notifications — order, session, and service updates

Features vary by venue, platform, and over time; we do not guarantee every feature is available to every user at all times.

4. User responsibilities

  • Use the Services honestly and in good faith
  • Provide accurate information in your profile, orders, and reservations
  • Respect venue staff, other guests, and other users
  • Comply with applicable laws and the venue's own house rules
  • Do not interfere with, disrupt, or attempt unauthorized access to the Services or other users' accounts

5. Acceptable use

You may not use DineXpro to:

  • Submit false, misleading, or fraudulent orders, reservations, reviews, or account information
  • Harass, threaten, abuse, or discriminate against any person or group
  • Send spam or unsolicited advertising through the platform
  • Upload or share content that is illegal, harmful, defamatory, or obscene
  • Reverse-engineer, decompile, or extract source code from the applications
  • Scrape or extract data in an automated manner without our permission
  • Impersonate another person, business, or entity
  • Bypass access controls, authentication, attestation, or rate limits

We may investigate violations and suspend or terminate access.

6. QR sessions, orders & payments

  • Orders are commitments. Once submitted, an order goes to the venue for preparation. Cancellation or modification depends on the venue's policies and operational reality.
  • Pricing is set by the venue. Menu prices, availability, and descriptions are provided by the venue; the contract for the food, drinks, and services you order is between you and the venue.
  • Payment obligations. You are responsible for paying for what you order. Bill-splitting is a convenience; the table's participants remain responsible for settling the bill.
  • Reservation deposits. Where a venue requires a deposit, its amount and conditions are shown before you confirm; deposits are payments to the venue and are governed by the venue's terms shown at booking.
  • Right of withdrawal — exemptions. Under EU consumer law (Directive 2011/83/EU and its national implementations, incl. OUG 34/2014 in Romania), the 14-day right of withdrawal for distance contracts does not apply to goods liable to deteriorate or expire rapidly (prepared food and drink) or to services related to leisure activities scheduled for a specific date (such as table reservations). Cancellation of orders and reservations is therefore governed by the venue's policies shown at the time of ordering or booking, not by a statutory withdrawal right.
  • Age-restricted products. Orders that include alcohol or other age-restricted products require you to be of legal age in the venue's jurisdiction. The venue is responsible for verifying age at service or handover and may refuse to serve or hand over age-restricted items.
  • QR codes. Scan QR codes only at tables where you are actually seated. Misusing QR codes or session links to disrupt operations is prohibited.
  • Session visibility. Other participants in your table session can see your display name and order activity — that is inherent to a shared table experience.

7. Business accounts & subscriptions

If you register a business on DineXpro or are granted staff access:

  • Accurate business information. Keep your business profile, menu, pricing, and location details accurate and current.
  • Staff management. Business administrators manage staff access, roles, and permissions, and must revoke access when no longer appropriate.
  • Customer data. You may access customer information (display names, order and reservation details) solely to provide the dining service, and you must handle it in accordance with applicable privacy law. You may not use customer data for unrelated purposes.
  • Compliance. You are responsible for your own legal compliance: food safety, consumer protection, tax, and privacy obligations in your jurisdiction. You are the seller of record for all consumer orders placed with your venue, including any legally required fiscal receipts or invoices for those sales.
  • Restricted items. You may not sell through the platform tobacco or nicotine products, CBD or cannabis products, pharmaceuticals, or any other category prohibited or restricted by applicable law or by the policies of our payment processors (including Stripe's Restricted Businesses list, incorporated by reference). Alcohol may be sold on-premise only under your valid license; alcohol may be included in pickup or delivery orders only where you hold the licenses required for remote sale, applicable law permits it, and you verify the recipient's age at handover.
  • Allergen & food information. You are solely responsible for the accuracy and completeness of menu information, including the allergen information required by Regulation (EU) 1169/2011, which must be available to consumers before purchase, and you must keep it current.
  • Tax data cooperation. Where the platform is required to collect, verify, and report seller information and revenue data under tax-transparency rules for digital platforms (including Council Directive (EU) 2021/514 — "DAC7"), you shall provide and keep current the required identification and tax information, and you acknowledge that reportable data may be transmitted to the competent tax authorities.
  • Content responsibility. You are responsible for the content you publish — menus, descriptions, images, and pricing.

Listing & ranking. Where consumers see lists of venues in the app, venues are ordered primarily by geographic proximity to the user, together with operational signals such as whether the venue is currently open and which features it has enabled. We do not sell ranking positions or paid placement in consumer-facing venue lists.

Subscriptions, billing & payment processors

Paid business features ("Modules") are provided under subscription plans chosen per location (see Pricing). Your access to specific Modules is governed by your active subscription and the entitlements derived from it; if a subscription lapses or a Module is not in your plan, the corresponding feature may be disabled.

  • Merchant of record. Subscription charges are processed by Paddle, which acts as merchant of record: Paddle collects payment, applies taxes, and issues invoices. The final price is confirmed in Paddle's checkout; pricing shown in the app or on this site is informational until confirmed there.
  • Cancellation & refunds. You can cancel anytime with effect at the end of the paid period. Refunds — including the 14-day money-back guarantee — are described in our Refund Policy and processed by Paddle.
  • End-customer payments (Stripe Connect). Payments your guests make to your business through DineXpro are processed by Stripe via Stripe Connect. You are the merchant of record for those payments, responsible for fulfilling the underlying goods and services, for refunds to your guests, and for complying with Stripe's terms.
  • Required information. Creating a business requires accurate identifying information, including a country of operation, and acceptance of these Terms and the Privacy Policy; acceptance is recorded with a timestamp and version reference.

8. Community conduct

Where social features are available and you choose to use them, you agree to treat other users with respect; not to engage in harassment, hate speech, or threats; not to share misleading information; to respect other users' privacy; and to use the reporting tools for inappropriate behavior. Social features may evolve, and we may introduce additional community guidelines as they do.

9. Content & moderation

You retain ownership of content you create and share through DineXpro. By posting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute it as necessary to operate and improve the Services.

We reserve the right (without obligation) to review, moderate, or remove content that violates these Terms; to investigate user reports; to restrict features for repeat violators; and to cooperate with law enforcement where required. We are not responsible for user-generated content and do not endorse it. If content violates your rights, contact contact@dinexpro.app.

10. Intellectual property

The DineXpro platform — software, design, branding, logos, and original content — is owned by ANNATECH SRL and protected by intellectual-property law. You may not copy, modify, or distribute any part of the platform, use our trademarks or brand elements without authorization, or create derivative works from the platform. If you believe content on DineXpro infringes your intellectual-property rights, contact us with details.

11. Service availability & changes

We aim for high availability but do not guarantee uninterrupted access: maintenance, provider outages, or events beyond our control can cause downtime. We may modify, suspend, or discontinue parts of the Services, and will make reasonable efforts to communicate significant changes in advance.

12. Disclaimers

The Services are provided "as is" and "as available", without warranties of any kind, express, implied, or statutory — including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, and warranties about accuracy or uninterrupted, error-free operation.

DineXpro is a technology platform. We do not prepare, serve, or deliver food, and we are not responsible for the quality, safety, legality, or accuracy of the food, menu items, or services provided by venues.

13. Limitation of liability

To the maximum extent permitted by law, ANNATECH SRL and its directors, officers, employees, and affiliates are not liable for indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, or goodwill; service interruptions; damages arising from the conduct of other users or venues; or issues with food quality, preparation, or delivery.

Our total aggregate liability for claims related to these Terms or the Services shall not exceed the amount you paid to DineXpro (if any) in the twelve (12) months preceding the claim. Where a jurisdiction does not allow certain exclusions or limits, our liability is limited to the fullest extent permitted there.

14. Termination & suspension

You may stop using DineXpro and delete your account at any time. We may suspend or terminate your access if you violate these Terms, if your account is associated with fraud or abuse, if the law requires it, or if we discontinue the Services. Upon termination, your right to use the Services ends immediately; we may retain certain data as required by law and as described in the Privacy Policy.

For business users: in line with Regulation (EU) 2019/1150 ("P2B"), if we restrict or suspend a business account's use of the platform we will provide a statement of reasons, and for termination we will give at least 30 days' prior notice — except where we are legally required to act, where continued provision would create legal or safety exposure (including payment-processor policy violations), or in cases of repeated infringement.

15. Governing law & disputes

These Terms are governed by the laws of Romania, without regard to conflict-of-law principles. If a dispute arises, contact us first at contact@dinexpro.app so we can try to resolve it informally; otherwise, disputes go to the competent courts in Romania, unless mandatory consumer-protection law in your jurisdiction provides otherwise. Nothing in these Terms affects your non-waivable statutory rights.

Consumers — alternative dispute resolution. Consumers in Romania may address the National Authority for Consumer Protection (ANPC — anpc.ro) and its alternative dispute resolution (SAL) structure. Consumers in other EU member states may use the ADR bodies designated in their own country. Note that the contract for food, drinks, and venue services is with the venue, so complaints about those are addressed to the venue first.

16. Changes to these Terms

We may update these Terms. For material changes we update the version and "Last updated" date above and, where appropriate, notify you in the app or by email; for businesses, re-acceptance may be required at the next subscription action. Continued use after changes take effect constitutes acceptance; if you do not agree, discontinue use of the Services.

For business users: material changes affecting business accounts take effect no earlier than 15 days after notice (Regulation (EU) 2019/1150), unless a shorter period is required by law, security, or payment-processor policy, or you expressly waive the notice period. If you do not agree with a change, you may terminate your business relationship with us before it takes effect.
